End User License Agreement (EULA)

PLEASE READ THIS SOFTWARE LICENSE AGREEMENT ("LICENSE") CAREFULLY BEFORE USING THE TCP SOFTWARE. BY USING THE TCP SOFTWARE, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS LICENSE. IF YOU DO NOT AGREE WITH THE TERMS OF THIS LICENSE, DO NOT INSTALL ANDO/OR USE THE SOFTWARE, AND IF PRESENTED WITH THE OPTION TO AGREE ("YES") OR DISAGREE ("NO") WITH THE TERMS, CLICK ON "NO".

Effective Date: December 12, 2025

This End User License Agreement ("Agreement") is entered into by and between The Carbon Platform Company ("Provider") and you ("User"). By accessing or using The Carbon Platform's Software Solution ("Solution"), you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not access or use the Solution.

1. Grant of License
1.1 Limited License: Provider grants User a non-exclusive, non-transferable, and revocable license to access and use the Solution solely for User's internal business or personal use, subject to the terms and conditions set forth in this Agreement. User may not make the Solution available over a network where it could be used by multiple devices concurrently.

1.2 Non-Transferable: This license is personal to the User. User may not assign, sublicense, or transfer this license to any other party.

2. Use Restrictions
2.1 Accuracy Disclaimer: The Solution may provide estimates including, but not limited to (i) carbon footprint values (sometimes reported in kilograms of CO2 equivalent), (ii) product characteristics such as material and/or packaging composition and percentages, manufacturing processes (process steps, cycle times, energy requirements, energy sources, scrap rates, recycling rates and/or consumables used), or distribution modes, distances and capacity factors. Provider does not guarantee the accuracy, completeness, or reliability of these estimates. Use of the Solution is at User's own risk, and the estimates provided are for informational purposes only.

2.2 NO WARRANTY: THE SOLUTION IS PROVIDED "AS IS," WITHOUT ANY WARRANTY, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. PROVIDER SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR CLAIMS ARISING FROM USER'S USE OF THE SOLUTION OR RELIANCE ON ITS ESTIMATES.

2.3 Competitor Use Prohibited: The Solution may not be used by any direct competitor of Provider or any entity or individual acting on behalf of a competitor. In case of doubt, written permission to use the Solution must be obtained prior to use of Solution from Provider.

2.4 Reverse Engineering: User agrees not to analyze, decompile, disassemble, or reverse-engineer the Solution or any of its underlying algorithms, methodologies, or functionalities.

3. Consent to Use of Data
You agree that Provider may collect, process and store query data, technical data and other related information to facilitate the provision of software updates, product support, and other services to you. Provider may furthermore use this information, as long as it is in a form that does not identify User, to improve Provider's products and services.

4. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PROVIDER SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO USER'S USE OF THE SOLUTION. In no event shall Provider's total liability to you for all damages (other than as may be required by applicable law in cases involving personal injury) exceed the amount of five dollars ($5.00). The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.

5. User Responsibilities
5.1 Compliance with Laws: User agrees to use the Solution in compliance with all applicable laws, rules, and regulations. User further warrants and represents that they have all necessary rights, permissions, and authority to upload any content or video via the Solution, including but not limited to intellectual property rights and permissions from any individuals depicted in the video. User further agrees not to upload any content that violates local, national, or international laws or regulations, or infringes on the rights of third parties.
5.2 Prohibition of Misuse: User agrees to use Solution solely for its intended purpose. Uploading content that violates the intended use, including but not limited to offensive, illegal, or otherwise inappropriate material, is strictly prohibited.
5.3 Liability for Violations: In the event that User uploads content in violation of this agreement or applicable laws, User agrees to indemnify and hold harmless Provider from any fines, legal fees, or other costs arising from such violation. This includes compensation for ancillary costs incurred by Provider in addressing the violation, such as investigation, legal proceedings, or penalties imposed by regulatory authorities.
5.4 Exclusive Access: User shall not share login credentials, grant access to third parties, or allow unauthorized use of the Solution.

6. Rights Under the GDPR (EU Residents)
If you are a resident of the European Union, you have certain rights under the General Data Protection Regulation (GDPR). These rights include:

Right of Access – You may request access to your personal data.
Right to Rectification – You may request correction of inaccurate or incomplete data.
Right to Erasure – You may request deletion of your personal data under certain conditions.
Right to Restrict Processing – You may request that we limit the use of your data in specific cases.
Right to Data Portability – You may request a copy of your personal data in a structured, machine-readable format.
Right to Object – You may object to processing of your personal data based on legitimate interests.

7. Export Compliance
User agrees to comply with all applicable U.S. and international export control and sanctions laws and regulations. User represents and warrants that:

They are not located in or a resident of a country subject to U.S. government trade sanctions or embargoes. They are not on any U.S. government list of restricted or prohibited parties. They will not use, export, re-export, or transfer the Solution in any manner that violates applicable export control or trade laws.
User acknowledges that it is their responsibility to ensure compliance with all applicable laws when using the Solution, especially if accessing it from outside the United States.

8. Termination
Provider reserves the right to suspend or terminate User's access to the Solution at any time for any reason, including but not limited to violations of this Agreement.

9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, the United States of America, without regard to its conflict of laws principles.

For users located in the European Union or other jurisdictions, this Agreement will also comply with applicable mandatory consumer protection or data protection laws in the user's jurisdiction, to the extent such laws are required to override the governing law specified herein.

Any disputes arising out of or in connection with this Agreement shall be resolved:

For U.S. users, exclusively in the courts located within the County of San Francisco, California.
For EU users, in accordance with the applicable laws of the EU member state where the user resides.

10. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11. Entire Agreement
This Agreement constitutes the entire understanding between Provider and User regarding the Solution and supersedes all prior agreements or understandings.

By accessing the Solution, User acknowledges that they have read, understood, and agree to be bound by this Agreement.
